These Terms of Service ("Terms") govern your use of the AIQ One mobile and web applications, the website aiqtechlabs.com and the related services (together, the "Services"), provided by AIQ Research Labs Private Limited (CIN U62013UW2026PTC258184), D-69, 1st Floor, Paramount Tulip, Delhi Road, Saharanpur, Uttar Pradesh 247001, India ("we", "us" or "our"). By using the Services, you agree to these Terms.

1. The Services

AIQ One is a business management application that helps businesses manage their customers, sales, staff, stock, compliance, documents and accounts. We continually improve the Services, and features may be added, changed or withdrawn from time to time.

2. Eligibility and your account

• You must be at least 18 years old and legally able to enter into a contract under Indian law.
• You sign in with your own mobile number and a one-time code. You are responsible for keeping your device and codes secure, and for all activity under your account.
• The information you provide must be accurate and kept up to date.
• If you use the Services on behalf of a business, you confirm that you are authorised to act for that business and to accept these Terms on its behalf.

3. Business accounts and users

A business owner may invite staff, partners and customers to the business on AIQ One and decide what each of them can see and do. The owner is responsible for the access they grant and for the actions of their authorised users within the Services.

4. Your data

You retain ownership of the data you put into the Services, and a business retains ownership of its Business Data. You grant us a limited right to host, process and display that data solely to provide and support the Services, as described in our Privacy Policy. A business owner may export its data at any time. As a business using AIQ One, you are responsible for having a lawful basis, including any consent required, for the personal data of others that you record in the Services.

5. Acceptable use

You agree not to:

• use the Services for any unlawful, fraudulent or harmful purpose;
• send spam or unsolicited messages, or contact people who have not agreed to hear from you;
• upload content that you have no right to share, or that infringes the rights or privacy of others;
• attempt to gain unauthorised access to the Services, other accounts or our systems, or interfere with their operation; or
• copy, modify, reverse engineer or resell the Services, except as permitted by law.

6. Plans, fees and taxes

Some features may require a paid plan. The applicable price will be communicated to the business before any charge. Plans are purchased through our team or authorised partners and are invoiced, with applicable taxes, including GST. Customers and family members invited by a business do not pay to use AIQ One.

7. Third-party services

The Services work with third-party services such as WhatsApp, Google and your device's own apps. Your use of those services is governed by their own terms and policies, and we are not responsible for them.

8. Professional and regulatory responsibility

• AIQ One is a software tool. We are not a bank, payment service, insurer, intermediary, chartered accountant or adviser, and nothing in the Services is financial, legal, tax, medical or other professional advice.
• We do not collect, hold or transfer money on behalf of any business or customer.
• Reminders, calculations, reports and statutory due dates in the Services are aids to your work. Please verify important figures and deadlines with your professional adviser or the relevant authority.
• Each business is responsible for holding the licences and registrations its activities require and for complying with the laws that apply to it.

9. Intellectual property

The Services, including the software, designs, content, and the names and logos "AIQ", "AIQ One" and "AIQ Research Labs", belong to AIQ Research Labs Private Limited or its licensors. These Terms do not give you any right to use them except to use the Services as intended.

10. Availability and support

We work to keep the Services available, secure and reliable, but we do not guarantee that they will be uninterrupted or error-free. We may carry out maintenance and updates, and will try to give notice of planned downtime where practical.

11. Suspension and termination

You may stop using the Services and ask us to delete your account at any time, as described in our Privacy Policy. We may suspend or end access to the Services if these Terms are seriously or repeatedly breached, or if required by law. Where possible, we will give notice first and allow a business reasonable time to export its data.

12. Disclaimer and limitation of liability

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for loss of profits, revenue or data, arising from the use of the Services. Our total liability for any claim relating to the Services is limited to the amount paid by you to us for the Services in the twelve months before the claim arose. Nothing in these Terms limits any liability that cannot be limited under applicable law, including your rights under the Consumer Protection Act, 2019.

13. Indemnity

You agree to indemnify us against claims arising from your breach of these Terms or your unlawful use of the Services.

14. Changes to these Terms

We may update these Terms from time to time. We will change the date at the top of this page and, where the changes are significant, notify you in the app before they take effect. Continuing to use the Services after that means you accept the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Saharanpur, Uttar Pradesh, shall have jurisdiction over any dispute arising from them.
